These Terms of Service ("Terms") govern access to and use of skedjual.com and the SKEDJUAL booking and client management platform (the "Service"), operated by SKEDJUAL ("we," "us"). By creating an account or using the Service, the entity or person doing so ("Business," "you") agrees to these Terms.
1. Description of Service
SKEDJUAL provides booking, scheduling, and client management tools for any booking-based business, including WhatsApp-based appointment confirmations and reminders sent via the Meta WhatsApp Cloud API.
2. Eligibility and Accounts
The Service is intended for use by registered businesses, not individual consumers booking for personal use. You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3. Business Responsibilities (Important)
As the party that enters Customer data into the Service, you agree that:
- You are the data controller for any Customer personal data you enter into SKEDJUAL. SKEDJUAL acts only as a data processor on your behalf.
- You are responsible for obtaining valid consent from your Customers before entering their data into the platform and before sending them WhatsApp messages through it, in compliance with applicable data protection law and Meta's WhatsApp Business Policy.
- You are responsible for the accuracy of the data you enter and for honoring any data subject request your Customers make to you directly.
- You will not use the Service to send unsolicited, misleading, or non-transactional marketing messages via WhatsApp unless you have obtained the consent WhatsApp's policies require for that purpose.
- SKEDJUAL is not liable for a Business's failure to obtain proper consent from its Customers, or for a Business's misuse of Customer data outside the intended scheduling/communication purpose of the Service.
4. Acceptable Use
You agree not to use the Service for any unlawful purpose, attempt to access another Business's data or bypass security controls, reverse-engineer, scrape, or resell the Service without authorization, or use the WhatsApp integration in violation of Meta's Business or Commerce Policy.
5. Fees and Payment
Access to certain features requires a paid subscription. Fees, billing cycles, and any add-on modules will be presented at signup or upon purchase. Fees are non-refundable except as required by law or expressly stated otherwise. We may change pricing with reasonable advance notice.
6. Data Ownership
Businesses retain ownership of the Customer data they enter into the Service. SKEDJUAL retains ownership of the platform, its software, and any aggregated or anonymized data derived from Service usage that does not identify any individual Business or Customer. Upon termination, Businesses may request export of their data within 30 days before it is deleted from our systems.
7. Intellectual Property
The Service, including its design, code, and branding, is owned by SKEDJUAL and protected by applicable intellectual property law.
8. Third-Party Services
The Service relies on third-party infrastructure, including Supabase (hosting) and Meta's WhatsApp Cloud API (messaging). SKEDJUAL is not responsible for outages, policy changes, or interruptions caused by these third parties, though we will make reasonable efforts to notify Businesses of material impacts.
9. Termination
We may suspend or terminate access for violation of these Terms, non-payment, or misuse that risks the security or data of other Businesses. Businesses may terminate their account at any time; certain obligations survive termination.
10. Disclaimers
The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation, and make no warranty regarding the accuracy of data entered by Businesses or their Customers.
11. Limitation of Liability
To the maximum extent permitted by law, SKEDJUAL's total liability arising out of the Service shall not exceed the fees paid by the Business in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of business, data, or reputation.
12. Indemnification
You agree to indemnify and hold SKEDJUAL harmless from claims, damages, or expenses arising from your breach of these Terms, your violation of applicable data protection law, or your failure to obtain proper Customer consent.
13. Governing Law
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of the competent courts of Egypt, unless mandatory local law where a Business is based requires otherwise.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice.
